Capital raising

Capital to take the next step.

When growth requires more than debt, we design and run the search for capital: what to offer, to whom, at what value and under what governance rules.

In short

What does raising capital involve?

Raising capital means bringing new shareholders or financial partners into a company or a project—private equity funds, family offices or strategic investors—in exchange for a share of the ownership. The work includes defining the structure, valuing the business, preparing materials, approaching investors and negotiating price, corporate governance and the shareholders' agreement through closing. Bespoke Advisors runs these processes from Santiago, Chile. In 2025 it advised on a capital raise, and its partners have led investment fund management companies.

01 When to call us

Signs that it is time.

  • A growth plan that debt alone cannot finance.
  • A new project that is best structured with partners, separate from the main company.
  • Current shareholders are unwilling or unable to keep contributing capital.
  • Partners contributing different things—capital, land, management—who need to be organized in a common structure.
  • You want a partner who brings experience or networks in addition to capital.

Documentation and execution of the capital increase together with legal counsel.

03 Experience

Experience that backs it up.

The partners know the process from both sides of the table: they have structured investment funds, led fund management companies and served on fund oversight committees.

04 Frequently asked questions

What clients often ask us.

Equity or debt?

Debt does not dilute ownership, but it requires fixed payments. Equity carries no interest obligation, but it means sharing ownership and decisions. The right mix depends on the project's risk and its ability to generate cash. See financing and refinancing.

What types of investors are there?

Private equity and venture capital funds, family offices, strategic investors from the industry and, in real estate or infrastructure projects, specialized funds. Each one seeks different returns, time horizons and levels of control.

What is an investment vehicle?

A company created for a specific project. It separates the project's risks from those of the main company and makes it easier for partners and lenders to come in.

How much control is given up when an investor comes in?

It depends on the percentage and on what is negotiated in the shareholders' agreement: board seats, matters that require the approval of both parties and exit mechanisms. A good design protects the founder without scaring off the investor.

What is a shareholders' agreement?

A contract among shareholders that governs how the company is run, major decisions, share transfers and exits. It matters as much as the price.
